This Affiliate Commission Agreement ("Agreement") is entered into as of [Date] by and between:

1. Commission Structure

Affiliate shall receive compensation based on the tier selected:

1. Free Tier: 10% commission on up to 3 active clients (total). No recurring fees. No API access.
2. Founding Tier: $49/month membership fee. 25% direct client commission + 10% override on sub-affiliate referrals. Includes basic API access and reporting dashboard.
3. Standard Tier: 20% direct commission + 7% override on sub-affiliate referrals. No membership fee. Full API and reporting tools.

Commissions are calculated on the net monthly recurring revenue (MRR) of referred clients at the plan tier they subscribe to, net of refunds and cancellations.

2. Payment Terms

Payment Schedule: Commissions are paid monthly by the 10th, covering the previous calendar month's earned commissions.

Minimum Threshold: Payments are issued only when earned commissions reach $25.00 in a calendar month. Balances below the threshold roll into the next month.

Payment Method: Affiliate may elect payment via PayPal, Venmo, or ACH bank transfer. Payment details must be provided prior to first commission payout.

3. Tracking & Attribution

Referral URL: Each Affiliate receives a unique referral URL using the ref= parameter (e.g., signup.bizbottech.com?ref=affiliatename). All signups originated from this URL are attributed to the Affiliate.

Cookie Window: The attribution cookie lasts 90 days. If a referred prospect signs up within 90 days of clicking the referral link, the commission is earned regardless of which device or browser they use to complete signup.

Dashboard Access: Affiliate may view real-time click, conversion, and commission data via the partner dashboard at partners.bizbottech.com.

4. Promotional Materials

Approved Content: Company provides email templates, landing page copy, and social media graphics for Affiliate use. Affiliate may customize these materials to match Affiliate's brand.

Restrictions: Affiliate may not use Company logos, trademarks, or brand assets without prior written approval. Affiliate may not misrepresent the bizbot product, features, or pricing.

Compliance: All promotional materials must be truthful, non-deceptive, and compliant with FTC Endorsement Guides and applicable advertising standards.

5. Termination

Either party may terminate this Agreement with sixty (60) days' written notice to the other party. Upon termination:

1. Affiliate loses access to referral links and dashboard
2. Commissions on new signups after termination date are forfeited
3. Commissions earned prior to termination are paid in full within 30 days of the effective termination date
4. Affiliate shall cease using bizbot branding and promotional materials immediately

6. Compliance

FTC Guidelines: Affiliate agrees to disclose any material connection with bizbot (e.g., "I am an affiliate and earn a commission") in all promotional content visible to consumers.

Prohibited Conduct: Affiliate shall not:

1. Engage in spam, unsolicited email, or SMS marketing
2. Bid on bizbot brand keywords in paid search (Google Ads, Bing Ads) without prior written approval
3. Create misleading landing pages or use deceptive tactics
4. Impersonate Company or claim to represent bizbot in official capacity
5. Use referral links in incentivized download schemes or sweepstakes

7. Confidentiality

Affiliate agrees to maintain confidentiality of all non-public information provided by Company, including pricing, marketing strategy, and performance metrics. This obligation survives termination for a period of two (2) years.

8. Governing Law

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved through binding arbitration under JAMS rules, with each party bearing its own legal costs unless a court awards attorney fees.
